FIELD LIGHTNING TERMS OF SERVICE

Field Lightning Inc., a Delaware corporation ("Field Lightning", "we", "us", or "our"), provides software, communication tools, and related services through the Field Lightning platform, including any associated websites, mobile applications, and integrated services (collectively, the "Service").

These Terms of Service ("Terms") govern your access to and use of the Service and create a legally binding agreement between you ("you", "your", or "Subscriber") and Field Lightning.

BY ACCESSING OR USING THE SERVICE, OR OTHERWISE INDICATING YOUR ACCEPTANCE OF THESE TERMS, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

THE SERVICE

Subject to these Terms, Field Lightning grants Subscriber a limited, non-exclusive, non-transferable right to access and use the Service during the applicable subscription term solely for Subscriber's internal business purposes.

Subscriber is responsible for all activity conducted under its account, including activity by employees, contractors, or other authorized users.

Field Lightning may modify, improve, or update the Service from time to time. This may include adding or removing features, modifying integrations with third-party services, or updating the technical architecture of the platform.

We may also discontinue features or components of the Service at our discretion.

The Service is intended for users 18 years of age or older.

ACCOUNT REGISTRATION

To access certain functionality of the Service, you must create an account and provide accurate and complete information.

You agree to:

  • maintain accurate account information
  • keep login credentials confidential
  • promptly notify Field Lightning of unauthorized use of your account

You are responsible for all actions taken under your account.

Accounts may not be transferred or assigned without Field Lightning's prior written consent.

SUBSCRIPTIONS AND PAYMENT

Subscriber agrees to pay all applicable fees for the Service.

Fees may be based on factors such as:

  • number of users
  • number of company locations or shops
  • enabled features or modules
  • communication usage
  • other applicable usage metrics

All fees are due according to the billing terms presented during subscription purchase or renewal.

Field Lightning may modify pricing with reasonable notice. Updated pricing will apply at the start of the next billing period.

Payments may be processed through credit card, ACH, or other supported payment methods.

All payments are non-refundable except where required by law.

Subscriber is responsible for all applicable taxes related to the Service.

Failure to make timely payments may result in suspension or termination of access to the Service.

SUBSCRIPTION TERM AND RENEWAL

Subscriptions may be offered on a monthly, annual, or multi-year basis.

Unless otherwise specified:

  • subscriptions automatically renew
  • renewal occurs at the end of the current term

Subscribers may cancel renewal by providing written notice prior to the renewal date.

Cancellation will take effect at the end of the current subscription period.

ACCEPTABLE USE

Subscribers and their authorized users must comply with all applicable laws when using the Service.

Users may not:

  • violate any law or regulation
  • infringe intellectual property rights
  • send unlawful spam or unauthorized communications
  • attempt to gain unauthorized access to the Service
  • introduce malware or harmful code
  • disrupt or interfere with the Service or its infrastructure
  • reverse engineer or attempt to extract source code

Field Lightning may suspend accounts that violate these rules.

COMMUNICATION FEATURES

The Service may include communication features such as messaging, notifications, or other interactions between Subscriber and its customers or users.

Subscriber is responsible for ensuring compliance with applicable laws including but not limited to:

  • Telephone Consumer Protection Act (TCPA)
  • CAN-SPAM Act
  • telemarketing and consumer communication regulations

Field Lightning acts solely as a technology provider and does not control the content of communications sent by Subscribers.

DATA OWNERSHIP

Subscriber retains ownership of all data submitted to the Service ("Subscriber Data").

Subscriber grants Field Lightning a limited license to use Subscriber Data solely to:

  • operate the Service
  • maintain and improve the Service
  • provide support and troubleshooting
  • comply with legal obligations

Field Lightning may create anonymized and aggregated data derived from Subscriber Data ("Resultant Data") for analytics, product improvement, and operational purposes.

Field Lightning will not publicly disclose Subscriber Data except as required to operate the Service or as required by law.

DATA SECURITY

Field Lightning uses commercially reasonable measures designed to protect the security of the Service and Subscriber Data.

However, no system is completely secure, and Field Lightning does not guarantee that the Service will be free from unauthorized access or data breaches.

Subscribers are responsible for maintaining the security of their own systems and user credentials.

ARTIFICIAL INTELLIGENCE FEATURES

Certain features of the Service may use artificial intelligence or machine learning technologies ("AI Features").

AI Features may include functionality such as:

  • summarization of notes or communications
  • drafting assistance for messages or estimates
  • categorization or tagging of data
  • workflow suggestions

Subscriber understands that AI output may be imperfect or inaccurate.

Subscribers must review AI-generated output before relying on it in business operations.

Subscriber remains responsible for ensuring that use of AI-generated content complies with applicable laws.

Field Lightning may use anonymized data to improve AI systems used within the Service.

CONFIDENTIALITY

Each party agrees to protect the other's confidential information and use it only for purposes related to the Service.

Confidential information does not include information that:

  • is publicly available
  • was already known to the recipient
  • was independently developed
  • was lawfully obtained from another source

INTELLECTUAL PROPERTY

The Service and all related software, content, and technology are owned by Field Lightning or its licensors.

These materials are protected by intellectual property laws.

Subscribers may not:

  • copy or redistribute the Service
  • create derivative works
  • reverse engineer the platform
  • resell access to the Service

Except for the limited license granted under these Terms, no intellectual property rights are transferred.

THIRD-PARTY SERVICES

The Service may integrate with third-party services.

Use of those services may be governed by separate terms provided by the third party.

Field Lightning is not responsible for third-party services or their availability.

DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE".

FIELD LIGHTNING DISCLAIMS ALL WARRANTIES INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

Field Lightning does not guarantee uninterrupted or error-free operation of the Service.

LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Field Lightning will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data.

Field Lightning's total liability for any claim related to the Service will not exceed the fees paid by Subscriber during the twelve months preceding the claim.

INDEMNIFICATION

Subscriber agrees to indemnify and hold harmless Field Lightning and its affiliates from claims arising out of:

  • Subscriber's use of the Service
  • violation of these Terms
  • violation of applicable law
  • Subscriber Data or communications sent through the Service

TERMINATION

Field Lightning may suspend or terminate access to the Service if:

  • Subscriber breaches these Terms
  • payment obligations are not met
  • use of the Service poses security or legal risks

Upon termination:

  • access to the Service ends
  • outstanding fees become due

Subscribers should export their data before termination of the Service.

GOVERNING LAW

These Terms are governed by the laws of the State of Arizona.

Any disputes will be resolved in state or federal courts located in Maricopa County, Arizona.

Field Lightning may elect to resolve disputes through binding arbitration under the rules of the American Arbitration Association.

GENERAL PROVISIONS

These Terms represent the entire agreement between the parties regarding the Service.

If any provision is found unenforceable, the remaining provisions will remain in effect.

Field Lightning may update these Terms from time to time. Updated Terms will take effect when posted.

Continued use of the Service constitutes acceptance of the updated Terms.
